Dental Joint owns and operates the services provided through the Website.
2. Definitions
2.1. End-user:
End user is the user who intend to take information or interact (include but not limited to review, comment, reply, rate, read, book appointment, book interview, book seat, communicate with listed user, buy dental products, post topics or blogs or articles) on website apart from listing themselves. End-user is inclusive of but not limited to a dental practitioner or health care provider (whether an individual professional or an organization), Clinic owner dentist, Visiting or Associate dentist, dental intern, dental student, individual speaker, dental academy, dental organization, vendor or stockist or distributor or dealer or manufacturer of dental or healthcare products, dental college admin or academician, admin, or owner of chain of dental clinic or hospital etc.
2.2. Listed user:
Listed user is the user whose profile/products is wanting to be listed or already listed and visible on website upon search. Listed-user is inclusive of but not limited to a dental practitioner or health care provider (whether an individual professional or an organization), Clinic owner dentist, Visiting or Associate dentist, individual speaker, dental academy, dental organization, vendor or stockist or distributor or dealer or manufacturer of dental or healthcare products, academician, Dental Laboratory representative or technician, dental hygienist, pharmacist, etc.
2.3. Agreement:
Terms and conditions; the Privacy Policy together constitute a legal agreement (“Agreement”) between you and Dental Joint in connection with your visit to the Website and your use of the Services
2.4 Dental Joint, or any of its proprietors, owners, directors, founders, officers, employees, agents, coordinators or content or service providers will be collectively defined as the “Protected Entities”
2.5 Buyer is any user who avails the offers of dental or healthcare products displayed on the website
2.6 Seller is vendor, stockist, distributor, dealer, manufacturer of dental or healthcare products, or any user who sell or display offers of dental or healthcare or any products on the website www.dentaljoint.com
2.7 Coordinator is a user who acts as freelance to promote Dental Joint and help Dental Joint in building clients, users, goodwill, brand or business and thereafter, share the benefit from the business done by dental joint through himself or herself. Hereafter, in the terms and conditions document including privacy policies, coordinators can be said as agents or third party. Agents or third party include coordinators but do not solely mean the same.

3. Nature and Applicability of Terms

The Agreement applies to you whether you are -
I. End-user
II. Listed-user
III. Buyer
IV. Seller
V. Coordinator
VI. Any other a user of the Website (“you” or “User”).

4. Conditions of Use
You must be 18 years of age or older to register, use the Services, or visit or use the Website in any manner. By registering, visiting, and using the Website or accepting this Agreement, you represent and warrant to Dental Joint that you are 18 years of age or older, and that you have the right, authority and capacity to use the Website and the Services available through the Website, and agree to and abide by this Agreement.
5. Terms for End-users
5.1 Applicability of Terms and conditions
5.1.1This Agreement applies to the services including the following:
I. Facility to (i) create and maintain ‘ Account’ that includes but not limited to view the history, activities, list of favourites listed, inbox, etc (ii) search for dentists, courses or conferences, laboratories, pharmacy by name, specialty, and geographical area, or any other criteria that may be developed and made available by Dental Joint, (iii) to make appointments with Dentist, and (iv) to book seats for dental course or conferences (v) Post topics on forum (vi) Post requirements, vacancies or similar post on forum (vii) reply, like, or comment on any forum including but not limited to topic, post, requirement, vacancy, blog, article, etc (viii) any other facilities or services made available by Dental Joint
5.1.2 The Services may change from time to time, at the sole discretion of Dental Joint, and the Agreement will apply to your visit to and your use of the Website to avail the Service, as well as to all information provided by you on the Website at any given point in time.

5.1.3 This Agreement defines the terms and conditions under which you can use the Website and describes the way we shall treat your account while you are registered as a member with us. By downloading or accessing the Website to use the Services, you irrevocably accept all the conditions stipulated in this Agreement, the Subscription Terms of Service and Privacy Policy, as available on the Website, and agree to abide by them. This Agreement supersedes all previous oral and written terms and conditions (if any) communicated to you relating to your use of the Website to avail the Services. By availing any Service, you signify your acceptance of the terms of this Agreement.
We reserve the right to modify or terminate any portion of the Agreement for any reason and at any time. You should read the Agreement at regularly. Your use of the Website following any such modification constitutes your agreement to follow and be bound by the Agreement so modified.

You acknowledge that you will be bound by this Agreement for availing any of the Services offered by us.

Your access to use of the Website and the Services will be solely at the discretion of Dental Joint.

5.1.4 The Agreement is published in compliance of, and is governed by the provisions of Indian law, including but not limited to:

the Indian Contract Act, 1872,

the (Indian) Information Technology Act, 2000, and

5.2 End-User Account and Data Privacy

End user who is availing the services that are provided free of cost by Dental Joint can create their own profile by giving necessary information. End users have to make a note of the limitation of service that they are not listed yet and that their profile will not be visible upon any type of search results. The facilities provided are described in clause 5.1.1
5.3 Relevance Algorithm

Dental Joint’s relevance algorithm for the Dentist or Course, conference or any other type is a fully automated system that lists the (listed) user, their profile and information regarding on its Website. These listings do not represent any fixed objective ranking or endorsement by Dental Joint. Dental Joint will not be liable for any change in the relevance of the listed user on search results, which may take place from time to time. The listing of user will be based on automated computation of the various factors including inputs made by the Users including their comments and feedback. Such factors may change from time to time, to improve the listing algorithm. Dental Joint in no event will be held responsible for the accuracy and the relevancy of the listing order of the listed user on the Website.

5.4 Listing Content and Disseminating Information

5.4.1 Dental Joint collects, directly or indirectly, and displays on the Website, relevant information regarding the profile of the listed user, such as their basic details, specialization, experience, qualification, fees, publications and achievements, location, visiting hours, profile pictures and similar details. Although Dental Joint screens the information and photos submitted by the Dentist/ academy/ organization/ laboratory/ pharmacy/ vendor/ company, it cannot be held liable for any inaccuracies or incompleteness embodied from it, despite such reasonable efforts.
5.4.2 The Services provided by Dental Joint or any of its licensors or service providers are provided on an "as is" and “as available’ basis, and without any warranties or conditions (express or implied, including the implied warranties of merchantability, accuracy, fitness for a particular purpose, title, and non-infringement, arising by statute or otherwise in law or from a course of dealing or usage or trade).
5.4.3 The Website may be linked to the website of third parties, affiliates, and business partners. Dental Joint has no control over, and not liable or responsible for content, accuracy, validity, reliability, quality of such websites or made available by/through our Website. Inclusion of any link on the Website does not imply that Dental Joint endorses the linked site. User may use the links and these services at User’s own risk.

5.4.4 Dental Joint shoulders no responsibility, and shall not be liable for, any damages to, or viruses that may infect User’s equipment on account of User’s access to, use of, or browsing the Website or the downloading of any material, data, text, images, video content, or audio content from the Website.
5.4.5 If Dental Joint determines that you have provided fraudulent, inaccurate, or incomplete information, including through feedback or review, Dental Joint reserves the right to immediately suspend your access to the Website or any of your accounts with Dental Joint and makes such declaration on the website alongside your (individual, clinic, company, or organization) name as determined by Dental Joint for the protection of its business and in the interests of Users. You shall be liable to indemnify Dental Joint for any losses incurred because of your misrepresentations or fraudulent feedback that has adversely affected Dental Joint or its Users.

5.5 Book Appointment/ interview/seat and Other Facility

5.5.1 Dental Joint enables Users to connect with listed user through six methods: a) Book facility that allows Users book an appointment through the Website; b) Question and Answer section in profile itself; c) sending message to listed user in profile itself; d) call facility e) whatsapp messaging facility f) send email to listed user
5.5.2 End user can book appointment or interview or seat of course or conference only in case listed user unable this facility in its individual profile.
5.5.3 Any kind of communication between end user and listed user will be evaluated by Dental Joint, and solely holds authority to modify, approve or disapprove the same without any clarification to both users. This authority is in interest of users and Dental Joint.
5.5.4 All the calls and messaging system made by user are not via any IVR network and the charges of individual telecom provider will be applicable and Dental Joint do not hold any liability or profit in this arrangement.
5.5.5 Dental Joint has no liability if an appointment is cancelled by the listed user, or the same dentist is not available for appointment.
5.5.6 The results of any search Users perform on the Website for listed user should not be construed as an endorsement by Dental Joint of any such dentist/ academy/ organization/ pharmacy/ dental laboratory/ etc. If the User decides to engage with a listed user to seek any services, the User shall be doing so at his/her own risk.
5.5.7 Users can provide feedback about their experiences with the listed Dentist, course or any such listed facilities however, the User shall ensure that, the same is provided in accordance with applicable law. User however understands that, Dental Joint shall not be obliged to act in such manner as may be required to give effect to the content of Users feedback, such as suggestions for delisting of a particular listed user from the Website.

5.6 Reviews and Feedback
By using this Website, you agree that any information shared by you with Dental Joint will be subject to our Privacy Policy.

You are solely responsible for the content that you choose to submit for publication on the Website, including any feedback, ratings, or reviews (“Critical Content”) relating to Dental Practitioners or listed user. The role of Dental Joint in publishing Critical Content is restricted to that of an ‘intermediary’ under the Information Technology Act, 2000. Dental Joint disclaims all responsibility with respect to the content of Critical Content, and its role with respect to such content is restricted to its obligations as an ‘intermediary’ under the said Act. Dental Joint shall not be liable to pay any consideration to any User for re-publishing any content across any of its Dental Joints.

Your publication of reviews and feedback on the Website is governed by Clause 14 of these Terms. Without prejudice to the detailed terms stated in Clause 14, you hereby agree not to post or publish any content on the Website that (a) disobeys any third-party intellectual property or publicity or privacy rights, or (b) infringes any applicable law or regulation, including but not limited to the IG Rules and SPI Rules. Dental Joint, at its sole discretion, may choose not to publish or modify your reviews and feedback, if so required by applicable law, and in accordance with Clause 14 of these Terms. You agree that Dental Joint may contact you through telephone, email, SMS, or any other electronic means of communication for the purpose of:

Obtaining feedback in relation to Website or Dental Joint ’s services; and/or

Obtaining feedback in relation to any Dentist or dental academy or organization listed on the Website; and/or

Resolving any complaints, information, or queries by Practitioners regarding your Critical Content; and you agree to provide your fullest co-operation further to such communication by Dental Joint. Dental Joint ’s Feedback

6. Terms for Listed User

6.1 Applicability of Terms and conditions
The terms in this Clause 6 are applicable only to listed Dentist, dental academy, organization, dental laboratory or pharmacy together termed as 'Listed user'

6.2 Limitations of Liability for Listed User
Dental Joint being a listing Dental Joint acts as an intermediatory and is not liable or do not guaranty or warranty the assurance of work, consultations, job, or seat booking. Although Dental Joint will be taking all required measures to connect the listed user with other dentists and related organizations, hospitals, colleges and similar practices but it is solely listed users’ responsibility to further communicated and work in interest of their own business or practice, under all said laws.

6.3 Listing Policy

6.3.1 Dental Joint, directly and indirectly, collects information regarding the listed user profiles, contact details, education details, documents, etc. Dental Joint reserves the right to take down any listed user’s profile as well as the right to display these profiles, with or without notice to the concerned listed user. This information is collected for the purpose of facilitating interaction with the End-Users and other Users. If any information displayed on the Website in connection with you and your profile is found to be incorrect, you are required to inform Dental Joint immediately to enable Dental Joint to make the necessary amendments.
6.3.2 Dental Joint shall not be liable and responsible for the ranking of the listed user on external websites and search engines.

6.3.3 Dental Joint shall not be responsible or liable in any manner to the Users for any losses, damage, injuries, or expenses incurred by the Users as a result of any disclosures or publications made by Dental Joint, where the User has expressly or implicitly consented to the making of disclosures or publications by Dental Joint. If the User had revoked such consent under the terms of the Privacy Policy, then Dental Joint shall not be responsible or liable in any manner to the User for any losses, damage, injuries, or expenses incurred by the User as a result of any disclosures made by Dental Joint prior to its actual receipt of such revocation.

6.3.4 Dental Joint reserves the right to moderate the suggestions made by the end-user through feedback and the right to remove or modify any abusive or inappropriate or promotional o provoking content added on the Website. However, Dental Joint shall not be liable if any inactive, inaccurate, fraudulent, or non- existent profiles of Practitioners are added to the Website.

6.3.5 Listed user explicitly agree that Dental Joint reserves the right to publish the Content provided by any user to a third-party including content Dental Joints.
6.3.6 You as a listed user hereby represent and warrant that you will use the Services in accordance with applicable law. Any violation of applicable law because of your use of these Services is your sole responsibility, and Dental Joint accepts no liability for the same.
6.4 Profile Ownership and Editing Rights
Dental Joint ensures easy access to the listed user by providing a tool to update your profile information. Dental Joint reserves the right of ownership of all the listed profile and photographs and to moderate the changes or updates requested by listed user. However, Dental Joint takes the independent decision whether to publish or reject the requests submitted for the respective changes or updates. You hereby represent and warrant that you are fully entitled under law to upload all content uploaded by you as part of your profile or otherwise while using Dental Joint’s services, and that no such content breaches any third-party rights, including intellectual property rights. Upon becoming aware of a violation of the foregoing representation, Dental Joint may modify or delete parts of your profile information at its sole discretion with or without notice to you.

6.5 Reviews and Feedback Display Rights of Dental Joint
6.5.1 As a Dental Joint, Dental Joint does not take responsibility for Critical Content and its role with respect to Critical Content is restricted to that of an ‘intermediary’ under the Information Technology Act, 2000. The role of Dental Joint and other legal rights and obligations relating to the Critical Content are further detailed in Clauses 5.6 and 14 of these Terms.

6.5.2 Dental Joint reserves the right to collect feedback and Critical Content for all the Practitioners, Clinics and Healthcare Providers listed on the Website.

6.5.3Dental Joint shall have no obligation to pre-screen, review, rating, flag, filter, modify, refuse, or remove any or all Critical Content from any Service.

6.5.4You understand that by using the Services you may be exposed to Critical Content or other content that you may find offensive or objectionable. Dental Joint shall not be liable for any effect on listed user’s business due to Critical Content of a negative nature. In these respects, you may use the Service at your own risk. Dental Joint however, as an ‘intermediary’, takes steps as required to comply with applicable law as regards the publication of Critical Content. The legal rights and obligations with respect to Critical Content and any other information sought to be published by Users are further detailed in Clauses 5.6 and 14 of these Terms.

6.5.5 Dental Joint will take down information under standards consistent with applicable law and shall in no circumstances be liable or responsible for Critical Content, which has been created by the Users.

6.5.6 If Dental Joint determines that you have provided inaccurate information or enabled fraudulent feedback, Dental Joint reserves the right to immediately suspend any of your accounts with Dental Joint for the protection of its business and in the interests of Users.

6.6 Relevance Algorithm

Dental Joint has designed the relevance algorithm in the best interest of the Users and may adjust the relevance algorithm from time to time to improve the quality of the results. It is a pure merit driven, proprietary algorithm which cannot be altered for specific user. Dental Joint shall not be liable for any effect on the listed user’s business interests due to the change in the Relevance Algorithm.

6.7 Dental Joint Reach Rights

Dental Joint reserves the rights to display sponsored ads on the Website. Dental Joint will not be liable for the accuracy of information or the claims made in the ads. Dental Joint does not encourage the Users to visit the ads page or to avail any services from them. Dental Joint will not be liable for the services of the providers of the ads.

You represent and warrant that you will use these Services in accordance with applicable law. Any breach of applicable law because of your use of these Services is your sole responsibility, and Dental Joint accepts no liability for the same.
6.8 Book Appointment/Interview/Seat, Call and Other Facility

6.8.1 As a valuable partner on our Dental Joint we want to ensure that the listed user experience of booking appointment/interview/seat is beneficial to both Users on Dental Joint. All the terms and conditions are listed in clause 5.5

6.8.2 Listed-user understands that, Dental Joint shall not be liable, under any event, for any comments or feedback given by any of the Users in relation to the Services provided by listed-user. The option of publishing or modifying or moderating or masking (where required by law or norm etc.) the feedback provided by Users shall be solely at the discretion of Dental Joint.
6.8.3 Listed user understand that dental joint has given you rights of editing your own profile, including management of Booking schedule, booking policies, slots and any sort of communication regarding booking appointments through the profile on the website. Listed user at its sole discrete acknowledge that booking slots will only be available on website if it is enabled and regularly managed by listed user himself or herself.

6.9 Listed User UNDERTAKING

6.9.1 Undertaking by Dentist, practitioner, or healthcare provider
The listed user is and shall be duly registered, licensed and qualified to practice dentistry (only for listed dentists), as per applicable laws/regulations/guidelines set out by competent authorities like DCI. Listed user shall not be part of any arrangement which will prohibit him/her from practicing dentistry within the territory of India. The Practitioner shall always ensure that all the applicable laws that govern the Practitioner shall be followed, and utmost care shall be taken in terms of the consultation/ services being rendered.
6.9.2 Undertaking by Speaker, Academy or organization for listing of course or conference
The listed user is and shall be duly registered, licensed and qualified as per applicable laws/regulations/guidelines set out by competent authorities. Listed user shall not be part of any arrangement which will prohibit him/her/it from working or conducting course or conference within the territory of India. User shall always ensure that all applicable laws that govern accreditation or affiliation shall be followed, and utmost care shall be taken in terms of service being rendered.
7. Terms for Users or Buyers
7.1 Applicability of Terms and Conditions
7.1.1This Agreement applies to those services made available by Dental Joint Website, to the Users (“Services”), including but not limited to the following:
I. Facility to (i) create and maintain ‘Account’ that includes but not limited to view the history, activities, list of favourites listed, inbox, etc (ii) Buy dental or healthcare or any other products at specific offers as and when delayed or published in website (iii) any other facilities or services made available by Dental Joint
7.1.2 Specific offer types are (i) normal pricing or offers on dental, healthcare or other products (ii) specific pricing for premium members of Dental Joint and (iii) power user rates exclusively for user who connected with other doctors through dental joint
7.1.3 The Services may change from time to time, at the sole discretion of Dental Joint, and the Agreement will apply to your visit to and your use of the Website to avail the Service, as well as to all information provided by you on the Website at any given point in time.

7.1.4 This Agreement defines the terms and conditions under which you can use the Website and describes the way we shall treat your account while you are registered as a member with us. By downloading or accessing the Website to use the Services, you irrevocably accept all the conditions stipulated in this Agreement, the Subscription Terms of Service and Privacy Policy, as available on the Website, and agree to abide by them. This Agreement supersedes all previous oral and written terms and conditions (if any) communicated to you relating to your use of the Website to avail the Services. the Indian Contract Act, 1872,

the (Indian) Information Technology Act, 2000, and

the rules, regulations, guidelines, and clarifications framed there under, including the (Indian) Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (the “SPI Rules”), and the (Indian) Information Technology (Intermediaries Guidelines) Rules, 2011 (the “IG Rules”).
7.2 Dental Joint for Communication
You agree, understand, and acknowledge that the website is an online Dental Joint that enables you to purchase products listed on the website at the price indicated therein at any time from any location. You further agree and acknowledge that Dental Joint is only a facilitator and is not and cannot be a party to or control in any manner any transactions on the website. 7.3 Other Policies During or After Buying the Dental, Healthcare or Other Products

7.3.1Dental Joint is an intermediatory between buyer and seller and provides a Dental Joint for listing of products at specific price or discount. The agreement and purchase is solely between the buyer and seller
7.3.2 selling should upload the copy of purchase bill that can be downloaded from its account by buyer
7.3.3 Transportation, Logistics and delivery of sold product will be done by seller and thus, seller holds responsibility for the same
7.3.4 Responsibility of serviceability, guaranty or warranty of sold product will be exclusively taken up by seller and that Dental Joint should not beheld responsible for it
7.3.5 display price of offer will be exclusive of GST, other taxes as applicable and transportation charges.
7.4 Disclaimer
You acknowledge and undertake that you are accessing the services on the website and transacting at your own risk and are using your best and prudent judgment before entering any transactions through the website. You further acknowledge and undertake that you will use the website to order products only for your personal use and not for business purposes. We shall neither be liable nor responsible for any actions or inactions of sellers nor any breach of conditions, representations or warranties by the sellers or manufacturers of the products and hereby expressly disclaim and any all responsibility and liability in that regard. We shall not mediate or resolve any dispute or disagreement between you and the sellers or manufacturers of the products.

7.5 Indemnity and Release

You hereby expressly release Dental Joint and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the vendors/sellers and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.
7.6 Losses
We will not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us when you commenced using the website.
8 Terms for Seller
8.1 Definition
8.1.1 “Confidential Information” means and includes any and all information which is confidential to a Party including any (i) business information and business processes, (ii) any samples, formulations, specifications, data relating to working of Dental Joint, (iii) advertising and marketing plans, (iv) any past, current or proposed development projects or plans for future development work, (v) technical, marketing, financial and commercial information whether relating to past or current or future, (vi) the commercial and business affairs of a Party, (vi) all customer related information including any rates and discounts and (vii) and with respect to the Service Provider shall include the End Customer Database.
8.1.2 “Deliverable(s)” shall mean the specific materials, devices, products, services or other deliverables that are provided by Dental Joint to seller during the course of performing Service Provider Business as per this Agreement and any related document thereto.
8.1.3 “User Database” shall mean all data / information (as may be updated from time to time) about the persons/ entities including their names, addresses, contact details, queries, orders and other requests made available by such persons / entities on Dental Joint or otherwise captured by Dental Joint that shall further include the usage, behavior, trends and other statistical information / data relating to such persons / entities, who (i) access Dental Joint or otherwise get invitation to Dental Joint or correspond with Dental Joint, (ii) place any order for Products on Dental Joint, or (iii) send any enquiry/ request with respect to Dental Joint, and shall include all analysis and records based on such aforementioned information, including the spending and other patterns of such persons/entitles and Products. For the avoidance of doubt, any list, description or other grouping of consumers or customers or any derivative work from user Database shall be deemed to be user Database.
8.1.4 “Intellectual Property” includes ideas, concepts, creations, discoveries, inventions, improvements, know how, trade or business secrets; trademarks, service marks, domain names, designs, utility models, tools, devices, models, methods, patents, copyright (including all copyright in any designs and any moral rights), masks rights, design right, procedures, processes, systems, principles, algorithms, works of authorship, flowcharts, drawings, books, papers, models, sketches, formulas, teaching techniques, electronic codes, proprietary techniques, research projects, and other confidential and proprietary information, computer programming code, databases, software programs, data, documents, instruction manuals, records, memoranda, notes, user guides; in either printed or machine-readable form, whether or not copyrightable or patentable, or any written or verbal instructions or comments. The user Database shall be considered to be the Intellectual Property of the Service Provider.
8.1.5 “Intellectual Property Rights” means and includes (i) all rights, title or interest under any statute or under common law or under customary usage including in any Intellectual Property or any similar right, anywhere in the world, whether negotiable or not and whether registerable or not, (ii) any licenses, permissions and grants in Intellectual Property (iii) applications for any of the foregoing and the right to apply for them in any part of the world and (iv) all extensions and renewals thereto.
8.1.6 “Payment Facilitation Services” shall mean facilitating the receipt of Sale Price on Dental Joint either along with Dental Joint Services or otherwise (for example cash on delivery services).
8.1.7 “Dental Joint Services” internet based electronic Dental Joint in the form of an intermediary to facilitate sale and purchase of goods and services through Dental Joint.
8.1.8 “Product(s)” shall mean any and all goods and related services of the Seller for which Service Provider makes available Service Provider Business to the Seller.
8.1.9 “Sale Price” shall be the price at which the Product is offered for sale by the Seller on the Dental Joint by using Dental Joint Services to the End Customer. Parties agree that Sale Price is dynamic and volatile and may vary at different times and points of sale and therefore can be periodically and from time to time changed or revised by the Seller in accordance with the terms of this Agreement.
8.1.10 “Service Fees” shall mean the fees for availing either whole or part of the Service Provider Business in accordance with the terms of this Agreement and/or Commercial Terms (the term as defined in the Agreement).
8.1.11 “Service Provider Business” shall have the meaning as set out Recital 2 hereinabove and shall include Dental Joint, Dental Joint Services, Payment Facilitation Services and Transaction Support Services.
8.1.12 “Service Provider Content” shall mean the Dental Joint, all the pages of the Dental Joint, all the content contained in the Dental Joint, look and feel of the Dental Joint, user experience of Dental Joint, any and all information or content owned or controlled (e.g. by license or otherwise) by Service. Provider or its Affiliates, including text, images, graphics, photographs, video, and audio, and furnished by Service Provider or its Affiliates in connection with Dental Joint Services, Transaction Support Services, Payment Facilitation Services and for the purpose of offering for sale of Products by the Seller.
8.1.13 “Territory” shall mean the entire world.
8.1.14 “Transaction Support Services” shall include services in relation to support the sale of the goods and services by the Seller to End Customer which shall include product listings, warehousing services, logistics management services, Payment Facilitation Services, customer support services and any other additional services that may be agreed between the parties.
8.2 Obligations of Seller
Seller at its sole discrete acknowledge that seller or its company or firm will deliver original quality, unbroken, correct number of ordered products to the buyer on promised time. Dental Joint will not be help responsible or will be considered harmless in case seller fail to deliver the original quality, unbroken, correct number of ordered products to the buyer on promised time.
8.3 Obligation of Dental Joint
Dental Joint will transfer the decided share of profit to seller’s given account by the end of every month
8.4 Freight charges, taxes will be extra, and chargeable to buyer. The freight charges will be handed over to the party who so ever is bearing the same. Similarly, GST amount will be owned by the party having GST registered number.
8.5 Limitations and Liabilities
In case of damage or incorrect delivery of products to buyer, Dental Joint will not be held responsible and the seller will be liable to refund or replace the said product to the buyer.
8.6 Intellectual Property
8.6.1 Intellectual Property Rights In Relation To Brand Name
8.6.1.1 seller acknowledges Dental Joint’s absolute ownership of, interest in and rights to the Brand Name and the Platform.
8.6.1.2 Without limitation to the foregoing, seller acknowledges and agrees that all goodwill in or associated with the Brand Name, including any goodwill generated or arising by or through Service Provider’s or Seller’s activities pursuant to this Agreement shall accrue for the benefit of and shall belong exclusively to the Service Provider.
8.6.1.3 No right or interest in the Brand Name are granted or deemed to be granted by the Service Provider to the Seller.
8.6.2 Intellectual Property Rights In Relation To Service Provider Content and Service Provider Business Service Provider shall retain sole ownership of all the intellectual properties, know how or other proprietary rights in the Service Provider Content and Service Provider Business and no right or interest is granted or shall be deemed to be granted by Service Provider to the Seller. To the extent Service Provider Content contains any proprietary content or information of the Seller, the Seller hereby grants a royalty free and world-wide license to such content or information including a right to creative derivative product of such content or information.
8.7 Confidentiality
8.7.1 Dental Joint may disclose to the seller, Confidential Information as may be necessary to further the performance of this Agreement. The receiving Party undertakes to the disclosing Party:
(i) to keep confidential the disclosing Party’s Confidential Information;
(ii) not to disclose the Confidential Information in whole or in part to any other person without the disclosing Party’s prior written consent, except to the receiving Party’s employees, agents and subcontractors involved in the performance of this Agreement on a confidential and need to know basis and provided that employees, agents and sub-contractors are bound by written agreements of confidentiality which are at least as stringent as the provisions of this Agreement; and
(iii) to use the Confidential Information solely in connection with the performance of this Agreement.
8.7.2 Upon request by the disclosing Party, the receiving Party must deliver to the disclosing Party all documents and other materials in any medium in its possession or control which contain or refer to the disclosing Party’s Confidential Information. If the documents or other materials are not capable of being returned, the receiving Party must destroy and certify the destruction of such documents and materials to the reasonable satisfaction of the Disclosing Party.
8.7.3 Any personal information / sensitive personal data / information shall be governed by the Privacy Policy of the Platform, which terms (including all amendments, modifications, reinstatements and substitutions) shall be deemed to be incorporated herein by way of reference.

9. Terms for Coordinator
9.1 Applicability of Terms and conditions
9.1.1This Agreement applies to the services including the following:
I. Facility to (i) create and maintain ‘Account’ that includes but not limited to view the history, activities, list of favourites listed, inbox, etc (ii) Assignment of unique code to each coordinator (iii) to make use of unique code as coupon while registration of listed user on Dental Joint, and (iv) any other facilities or services made available by Dental Joint
9.1.2 The Services may change from time to time, at the sole discretion of Dental Joint, and the Agreement will apply to your visit to and your use of the Website to avail the Service, as well as to all information provided by you on the Website at any given point in time.

9.1.3 This Agreement defines the terms and conditions under which you can use the Website and describes the way we shall treat your account while you are registered as a member with us. 9.4.1 Dental Joint collects, directly or indirectly, and displays on the Website, relevant information regarding the profile of the listed user, such as their basic details, specialization, experience, qualification, fees, publications and achievements, location, visiting hours, profile pictures and similar details. Although Dental Joint screens the information and photos submitted by the coordinator, it cannot be held liable for any inaccuracies or incompleteness embodied from it, despite such reasonable efforts.
9.4.2 The Services provided by Dental Joint or any of its licensors or service providers are provided on an "as is" and “as available’ basis, and without any warranties or conditions (express or implied, including the implied warranties of merchantability, accuracy, fitness for a particular purpose, title, and non-infringement, arising by statute or otherwise in law or from a course of dealing or usage or trade).
9.4.3 The Website may be linked to the website of third parties, affiliates, and business partners. Dental Joint has no control over, and not liable or responsible for content, accuracy, validity, reliability, quality of such websites or made available by/through our Website. 13. Content Ownership and Copyright Conditions of Access

13.1The contents listed on the Website are (i) User generated content, or (ii) belong to Dental Joint. The information that is collected by Dental Joint directly or indirectly from the End or listed Users belong to Dental Joint. 16.5 Dental Joint shall have no obligation to pre-screen, review, rating, flag, filter, modify, refuse, or remove any or all Critical Content from any Service.

20.2 Any dispute, claim or controversy arising out of or relating to this Agreement, including but not limited to the determination of the scope or applicability of this Agreement to arbitrate, or your use of the Website or the Services or information to which it gives access, shall be determined by arbitration in India, before a sole arbitrator appointed by Dental Joint. Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The location of such arbitration shall be Mumbai. All proceedings of such arbitration, including, without limitation, any awards, shall be in the English language. The award shall be final and binding on the parties to the dispute.

20.3Subject to the above Clause 20.2, the courts at Mumbai shall have exclusive jurisdiction over any disputes arising out of or in relation to this Agreement, your use of the Website or the Services or the information to which it gives access.

21. Severability
If any provision of the Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.

Any consent by Dental Joint to, or a waiver by Dental Joint of any breach by you, whether expressed or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

Dental Joint also reserves the right to use information provided by or about the User for the following purposes:
i. Publishing such information on the Website.
ii. Contacting Users for offering new products or services.
iii. Contacting Users for taking product and Service feedback.
iv. Analysing software usage patterns for improving product design and utility.
v. Processing payment instructions including those through independent third party service providers such as payment gateways, banking and financial institutions, pre-paid instrument and wallet providers for processing of payment transaction or deferral of payment facilities.
